Company commercial terms
These terms govern a rental company's application, its use of the marketplace and fleet software, vehicle publication, bookings, subscriptions and commissions.
Version company-2026-09-a, effective 2026-09-21
1Parties and formation
The rental company identified in the application offers to contract with Raya, registered in the commercial register of the Syrian Arab Republic under number 0310107352, the operator of the RAYA platform (“RAYA”). Submission alone creates neither a contract nor a right to activation. The contract is formed when RAYA issues a written activation notice identifying the accepted company, the commercial model, plan, prices and start date. The applicant confirms legal authority to bind the company and that all submitted information is accurate and complete.
2Contract documents and priority
The contract comprises the activation notice or commercial order, these terms, the data-processing annex, the privacy policy, and operating rules expressly incorporated by reference. If they conflict, the activation notice prevails for pricing, commercial model and specific limits; the data-processing annex prevails for processing carried out for the company; and these terms follow. Advertising and pricing pages are not contractual promises unless included in the activation notice.
3Service and RAYA's role
RAYA provides a booking marketplace and software for branches, fleet, bookings, agreements, invoices and operational records according to the plan. RAYA neither owns nor rents the vehicles and does not become a party to the rental contract between company and customer. The company alone is responsible for each vehicle, roadworthiness, insurance, handover and return, physical licence checks, collection of rental charges and cash deposits, and customer service.
4Eligibility and company verification
The company must be duly established, registered and authorised to conduct rental activity, and must maintain all required licences, insurance and tax registrations. RAYA may request commercial-register, tax, representative, beneficial-owner and other verification evidence, validate it, and refuse or suspend review where verification is incomplete. Verification does not make RAYA a guarantor of the company or its obligations to customers.
5Accounts, authority and security
The company appoints its users and permissions and must keep accounts personal and never share passwords or verification codes. It enables required authentication, promptly removes access when authority ends, and tells RAYA without delay of a lost device or suspected compromise. Acts performed through a valid account are attributable to the company unless RAYA had received an actionable compromise notice. The company remains responsible for staff authority and review of its audit trail.
6Vehicles, content and accuracy
The company may list only vehicles it is entitled to offer and rent and that are registered, roadworthy, safe and lawfully insured. It warrants the accuracy of images, descriptions, class, equipment, branches, opening hours, prices, taxes, availability, fuel, mileage, lateness, cancellation and deposit policies. The company grants RAYA a non-exclusive licence to host, display and technically localise that content as needed to provide the service, while retaining its rights in it.
7Marketplace publication
A company or vehicle existing in the management software is not necessarily published in the marketplace. RAYA alone determines, under the contract and review, whether the company, branch and vehicle are marketplace-enabled. The company must not evade publication status or advertise unavailable inventory. RAYA may rank results and apply quality, safety and fraud controls, without guaranteeing visibility or booking volume.
8Bookings and rental contracts
Company settings determine whether a booking is instant or requires approval. Once confirmed, the company must honour the vehicle or agreed substitute, price and policies shown to the customer. The rental contract is between the company and customer; the company issues the rental invoice and performs handover. No undisclosed fee or term may be imposed after confirmation, except a properly evidenced later event such as damage, fuel or lateness under the accepted policy.
9Customer money and deposits
RAYA does not receive rental charges or deposits from customers, hold card details, or settle funds between parties. The customer pays the company at the branch by the method shown in the booking. The company alone issues receipts, safeguards cash, returns deposits and settles sums and disputes. Platform records document what the company declared as collected or returned and do not by themselves prove physical movement of money.
10Commercial model
The activation notice assigns a subscription, commission or hybrid model. Under subscription, the stated recurring fee is due for the plan and its limits. Under commission, the stated rate applies only to bookings originated by the RAYA marketplace. A hybrid applies both within the stated scope. No commission is due on a direct booking sourced by the company and correctly recorded with a direct origin. Booking origin is server-determined and the company may not change or reclassify it.
11Fees, invoices and payment
The activation document states currency, prices, taxes, billing cycle, due date and payment method. Commission is invoiced in arrears from completed marketplace bookings and the rate-and-amount snapshot stored with each booking. Corrections are made by credit note; the original invoice is not rewritten. The company bears transfer charges and its own applicable taxes and must quote the invoice reference. Reporting a transfer is not final proof of receipt until RAYA confirms it.
12Plans, limits and changes
The vehicle, branch, user and feature limits stated for the plan apply. A price or commission change is not retroactive to a booking or invoiced period and is notified before the next period as specified in the activation notice. The company may reject it by ending renewal before it takes effect, while existing amounts and bookings remain due. A move between commercial models operates prospectively from a recorded effective date.
13Cancellation, no-show and customer disputes
The company applies the cancellation and no-show policy displayed at booking consistently and without discrimination, recording the reason for each decision. It must not record a no-show before the stated window has elapsed, use one against a customer who attended, or conceal the company's failure to supply the vehicle. It cooperates in investigations and provides relevant agreements, inspections, receipts and correspondence. RAYA may correct platform records or restrict an account but does not replace a court in deciding obligations under the rental contract.
14Data protection and allocation of roles
Each party is an independent controller for processing whose purposes and means it determines. The company is responsible for customer data needed for the rental contract and for lawfully entering its direct customers. RAYA is responsible for accounts, marketplace operation, security, billing and compliance. Where RAYA handles the company's direct-customer data in the management software, it acts as processor under the following annex and does not use that data for independent advertising or another company's benefit.
15Data-processing annex
For the service term, RAYA processes company staff, customer, booking, vehicle, agreement and operational data only to provide the contracted functions and on the company's documented instructions, unless law requires otherwise. RAYA maintains confidentiality, restricted access and appropriate security, informs the company without undue delay of a relevant incident, and reasonably assists with rights requests, assessments and notices. A subprocessor may be used under equivalent protection, with RAYA remaining responsible for selection and oversight. On termination, RAYA makes exportable data available and then deletes or anonymises copies not lawfully required; legal, financial and audit records remain restricted to their required purpose and period.
16Company data obligations
The company enters only necessary, lawful and accurate data, provides required privacy information to customers and obtains consent where needed. It must not upload a document into an unintended field or store passwords, verification codes, card data or unnecessary sensitive data. It responds to data-subject requests, corrects its records and promptly informs RAYA of any request or incident requiring assistance. It must not export or use data for marketing without a lawful basis and separate consent where required.
17Prohibited use
The company must not evade access controls or tenant separation; test vulnerabilities without written authority; scrape data outside approved interfaces; publish fictitious vehicles, prices or bookings; alter booking origin or financial records; impersonate a person or entity; transmit harmful or unlawful content; seek another party's secrets or data; or use the service contrary to law or individual rights. The service may not be resold or made available to a third party without written agreement.
18Availability, maintenance and service changes
RAYA uses reasonable professional care to operate and secure the service and may perform planned or urgent maintenance and change features for security, legal or operational reasons. It does not warrant uninterrupted or error-free operation or any particular demand or revenue. Backups exist for recovery and do not replace the company's duty to retain documents it must lawfully keep outside the platform.
19Suspension
RAYA may proportionately restrict publication, a feature or an account for a security risk, suspected fraud, expired document, overdue amount, material breach or lawful demand. Unless law or an investigation prevents it, the company is told the reason and required remedy, and access is reasonably restored when the cause ends. Immediate action may be taken where people, vehicles, data or third-party funds are at risk.
20Term and termination
The term begins on the activation notice and renews as stated there. Either party may decline renewal on the agreed notice. A party may terminate for a material breach not cured within a reasonable period after notice, or immediately where cure is impossible, activity is unlawful or serious risk arises. Termination does not cancel accrued sums or rights. Existing bookings continue under their accepted terms unless a safe customer-protective transition is agreed.
21Consequences of termination and data
On termination the company stops using the service and pays accrued sums. For a reasonable period and in a technically available format, RAYA makes exportable company data available, excluding another company's data, secrets and internal security records. Data not required for lawful retention is then erased or anonymised. Bookings, agreements, invoices, consents and audit records remain to the extent needed for law, proof and disputes.
22Confidentiality and intellectual property
Each party protects the other's non-public information with at least the care used for comparable information of its own and uses it only to perform the contract. The platform, software, design, interfaces, documentation and related rights remain with RAYA or its licensors. The company receives a limited, non-exclusive, non-transferable right of use during the contract. It may not copy, reverse engineer or create derivative works except to the extent that law does not permit that restriction.
23Warranties and liability
Each party warrants its authority to contract and compliance with law. Each is responsible for direct, reasonably foreseeable loss caused by its proven breach. Nothing excludes liability that law does not permit to be excluded, or liability for fraud, wilful misconduct, gross negligence, or breach of confidentiality, data protection or intellectual-property rights. To the lawful extent, neither party is liable for lost profit or indirect loss not reasonably foreseeable. Any specific financial cap is stated in the activation notice; otherwise mandatory law and the competent court determine the applicable limit by reference to the breach.
24Third-party claims
The responsible party bears reasonable third-party claims and costs arising from its breach of law, contract or third-party right. In particular, the company bears claims concerning a vehicle, rental, injury, licence, insurance, content or tax within its responsibility; RAYA bears claims concerning infringement by its software or processing contrary to its obligations. The protected party must give prompt notice, cooperate, and make no admission or settlement at the other party's expense without reasonable consent.
25Force majeure
A party is not in breach to the extent performance is prevented by an event beyond reasonable control, such as a general outage, disaster, war or government action, provided it gives notice and takes reasonable steps to mitigate and resume. Force majeure does not excuse sums already due or data and confidentiality duties to the extent still possible. If material disruption continues so that the contract's purpose cannot reasonably be achieved, the affected part may be ended on notice.
26Notices and electronic contracting
The company agrees to contract and receive notices, invoices and records electronically through its registered email or portal. RAYA records the accepted version, language, date, time, account and available network address. The company may download or print documents and retrieve the accepted version. Operational notices are effective when displayed or sent; termination and material-change notices are sent to the registered email and kept in a durable record.
27Law and disputes
The contract is governed by the laws of the Syrian Arab Republic, subject to any applicable mandatory rules. The complaining party sends a written account of the dispute, evidence and requested remedy, allowing fifteen working days for good-faith resolution. If unresolved, the Syrian courts having territorial and subject-matter jurisdiction are competent, unless the activation notice contains a specific written arbitration agreement accepted by both parties.
28Language and general provisions
The Arabic and English texts have been prepared with care; Arabic prevails if their meaning differs. The company may not assign the contract without RAYA's written consent. RAYA may assign it as part of a reorganisation or service sale provided company protection is not reduced. An invalid provision is severed and replaced, where possible, by a lawful provision closest to its purpose. A failure to enforce once is not a waiver. The contract documents are the entire agreement and may be amended only by an electronic or written record issued under them.
